Effective Upon Account Activation
These Terms & Conditions (“Terms”) govern the use of the CargoFlare™ software platform (“Platform,” “Service,” or “CargoFlare”), owned and operated by CargoFlare Technologies LLC (“Company,” “We,” “Us,” “Our”). By accessing, subscribing to, or using the Platform, the Client (“You,” “Your,” “Customer,” “Account Holder”) agrees to be bound by these Terms.
If you do not agree, you must not use the Platform.
1. Service Description
CargoFlare™ is a proprietary transportation & logistics automation system that provides:

Lead, Quote, Order & Client Management
-
Dispatch & Assignment Systems
-
AI-Driven Automation (Dispatch, Customer Service, Ops Assistant)
-
Email/SMS Communication Engines
-
Customizable User Permissions & Access Controls
-
CentralDispatch API Co-Pilot & Third-Party Integrations
-
Reporting, Analytics, and AI Machine Learning Models
-
Workflow Automation & Operational Process Management
All software, features, processes, automations, models, workflows, data structures, interfaces, and system logic are the exclusive intellectual property of CargoFlare Technologies LLC.
2. Pricing & Subscription Plans
CargoFlare operates on a per-seat, per-user subscription model with three tiers:

Tier 1: $80 per seat / per user / per month

Tier 2: $100 per seat / per user / per month
-
Tier 3: $120 per seat / per user / per month
Seat pricing is billed based on the number of active user accounts in your organization.
CargoFlare reserves the right to adjust pricing with a 30-day written notice.
3. Payment Terms
3.1 Billing Cycle
-
All billing is conducted monthly.
-
All subscriptions are pre-paid for the upcoming 30 days.
-
Payment is due on or before the 15th of each month to maintain uninterrupted service.
3.2 Accepted Payment Methods
CargoFlare ONLY accepts the following:
-
ACH (Automated Clearing House)
-
Business Check
Credit cards, debit cards, or third-party payment processors are not accepted.
3.3 Late or Failed Payments
If payment is not received by the 15th:
-
A 5-day grace period may be applied at CargoFlare’s discretion.
-
Accounts past due may be restricted or suspended until full payment is received.
-
CargoFlare reserves the right to permanently terminate access for unpaid or delinquent accounts.
4. Subscription Changes
4.1 Adding Seats
New users/seats added mid-cycle are billed prorated for the remaining days until the next billing date.
4.2 Removing Seats
Removing users does not reduce billing until the next billing cycle.
5. Cancellation Policy
5.1 Notice Requirement
To cancel your subscription, you MUST:

Submit a written cancellation request
-
BEFORE the 15th of the month
-
From the Super Admin’s registered email address on file
All cancellations must be sent to:

5.2 Effective Date of Cancellation

Cancellations take effect on the next billing cycle.
-
Payments already made are non-refundable.
-
No partial refunds or credits are provided for unused service time.
5.3 Failure to Properly Cancel
If the Customer fails to submit cancellation correctly, the account will remain active and the Customer will continue to be billed.
6. Data Ownership & Access
6.1 Customer Data
You retain full ownership of:

Leads
-
Orders
-
Customer information
-
Uploaded documents
-
Dispatch records
CargoFlare does not claim ownership of your operational data.
6.2 Data Access After Cancellation
You may request a data export within 15 days after cancellation.
After this window, CargoFlare may permanently delete stored data in accordance with internal retention policies.
7. System Access & User Responsibilities
You agree to:

Maintain accurate user information
-
Ensure each user account is assigned to a real person
-
Not share logins or passwords
-
Comply with all security and privacy rules
-
Immediately notify CargoFlare of unauthorized access
Misuse or abuse of the system may result in suspension or termination.
8. AI Features & Automation
CargoFlare includes multiple AI systems, including:

AI Dispatch Assistant
-
AI Customer Service Assistant
-
AI Order Workflow Agents
-
CentralDispatch API automation
-
Machine Learning Predictive Models
These tools are intended to assist your staff, not replace human oversight.
CargoFlare is not responsible for:
-
AI-generated suggestions
-
Automated dispatch decisions
-
Carrier selections
-
Pricing recommendations
-
Message accuracy or tone
The Customer maintains full responsibility for reviewing and approving all decisions made within the platform.
9. API Integrations & Third-Party Services
CargoFlare integrates with certain third-party services, including but not limited to:

CentralDispatch
-
Email/SMS Providers
-
Payment/Banking Gateways
-
Mapping, Routing, and Data Providers
CargoFlare is not liable for outages, errors, system changes, or failures caused by third-party service providers.
10. Confidentiality & Intellectual Property
All code, workflows, system architecture, schemas, models, algorithms, dashboards, UI/UX, documentation, and internal tools are owned solely by CargoFlare Technologies LLC.
Reverse engineering, copying, replicating, or attempting to recreate any part of the system is strictly prohibited.
11. Limitation of Liability
CargoFlare is not liable for:

Lost profits
-
Missed business opportunities
-
Carrier disputes
-
Customer disputes
-
Data loss caused by third-party providers
-
Service interruptions
-
Incorrect pricing, quoting, or dispatching decisions made by AI or end-users
In no event shall CargoFlare’s liability exceed the amount paid by the Customer in the previous 30 days.
12. Modifications to Terms
CargoFlare may update these Terms at any time.
Continued use of the platform constitutes acceptance of updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
